(English Translation) 9 December 2011 Subject : Capital Decrease of a subsidiary company and notify the adjustment of the Company's shareholding structure in its subsidiary. To : President The Stock Exchange of Thailand Sansiri Public Company Limited ("Sansiri") would like to inform that Sansiri's subsidiary, i.e., Rojnaruemit Limited has already registered its capital decrease. The details of which is as follows: Rojnaruemit Limited, a 100 percent owned subsidiary of Sansiri, has registered its capital decrease from existing capital of 1,218,750 Baht to 680,000 Baht by reducing the ordinary share of 538,750 shares with par value of 6.25 Baht each. After such capital decrease, Sansiri still holds share in Rojnaruemit Limited in the number of 108,800 shares with par value of 6.25 Baht each or equivalent to 100 percent of its paid up capital. Furthermore, Sansiri has adjusted its shareholding structure in Plus Property Space Co., Ltd. ("PPS"), a subsidiary operating the real estate development business, from indirect holding of 100 percent of total paid up capital of PPS to direct holding of 100 percent of total paid up capital of PPS. This is the result of PPS's shares being transferred from Plus Property Co., Ltd., another of Sansiri's wholly owned subsidiaries, to Sansiri. Please be informed accordingly.
