5 September 2011 Subject : Report on the results of the exercise of the Warrants under ESOP # 5 Plan for the period of 31 August 2011 (10th exercising right) To : President The Stock Exchange of Thailand As Sansiri Public Company Limited ("the Company") had issued and offered the Ordinary Share-Purchase Warrant of the Company ("Warrants") under ESOP # 5 Plan in the number of 52,820,000 units which allotted to the Directors and Employees of the Company and its Subsidiaries with free of charge since 30 June 2009. It was appeared that the Company has the Warrants which were already been allotted and subscribed totaling 45,770,000 units. The Company would like to inform that subsequently, the Annual General Meeting of Shareholder no. 16/2011 held on 25 April 2011 has resolved the matters regarding the ESOP # 5 Plan as follows: 1. To cancel the 7,050,000 shares being reserved for the exercising right of the warrants which issued and offered to the Directors and Employees of the Company and its Subsidiaries under the ESOP # 5 Plan as the same number of the warrants were left un-subscribed from the offering. Therefore, the Company still had the 45,770,000 shares to be reserved for the exercise of the right under the warrants which were already been allotted and subscribed. 2. To allocatethe additional3,912,810 newly issued shares to be reserved for adjustment of rights under the condition of the Warrants issued as ESOP # 5 Plan, atotal number of shares reserved for exercising right after adjustment of the warrant are 49,682,810 shares (45,770,000shares + 3,912,810 shares). Such adjustment of rights resulting to change the exercise price and exercise ratioas follows: ESOP # 5 Existing New Exercise Price (Baht/share) 5.00 4.286 Exercise Ratio 1 : 1 1 : 1.167 (1 unit of Warrant will be entitled to purchase 1.167 ordinary shares) In this regard, the Company would like to report the results of the exercise of the Warrants to purchase the Company's ordinary shares under ESOP # 5 Plan for the period of 31 August 2011 (10th exercising right)as follows: 1. Results of the exercise - Number of Warrants which were already been allotted and subscribed 45,770,000 units - Total accumulated number of Warrants issued up until the previousexercising right (on 28 February 2011) (24,962,274) units - Number of Exercisable Warrants for this time 20,807,726 units - Number of Exercised Warrants for this time (200,000) units - Total balance of Warrants being unexercised 20,607,726 units - Exercise Ratio 1 unit of Warrant will be entitled to purchase 1.167 ordinary shares - Exercise Price 4.286 Baht per unit 2. Details of the share sale - Number of Warrant holders' application for this time 1 persons - Total number of shares reserved for exercising right after adjustment of the Warrants 49,682,810 shares - Total accumulated number of shares issued up until the previousexercising right (on 28 February 2011) (25,400,190) shares - Total number issued shares reserved for this exercising right 24,282,620 shares - Number of shares to be issued for this exercising right (233,400) shares - Total balance of shares reserved for the exercising right of Warrants 24,049,220 shares 3.
