No. SS. / 0096 / 2010 3 February 2010 Subject : Notice regarding changes in major shareholders To : President The Stock Exchange of Thailand Sansiri Public Company Limited ("SIRI") has been informed by the major shareholders, Trendy Plan Investments Limited, of the transfer of its holding in SIRI in the number of 178,274,400 shares, representing 12.09 percent of SIRI's issued and paid-up capital to Majestic Heart Limited who subsequently sold the same to T.S. Star Company Limited at the price of 5.00 baht per share on 2 February 2010. T.S. Star Company Limited, is the holding company wholly owned by Mr. Srettha Thavisin who is also the director. In this regard, T.S. Star Company Limited would like to invest in SIRI, which is the well-known and experienced real estate developer, with no intention to change the business direction and operations. (2) After the sale of share above-mentioned, the remaining shares of SIRI held by Trendy Plan Investments Limited are 20,000,000 shares, representing 1.36 percent of SIRI's issued and paid-up capital In addition, as it is appeared in the newspaper, Thai Post on 3 February 2010 that Mr. Srettha Thavisin decided to acquire SIRI shares from 3 foreign shareholders, namely Trendy Plan Investments Limited, UOB KAY HIAN PRIVATE LIMITED and CHASE NOMINEES LIMITED, totaling 313 million shares at 5 Baht, SIRI has been told by Mr. Srettha Thavisin that he had plan to acquire the said number of shares. At the moment he successfully bought only 178,274,400 shares from Majestic Heart Limited (the acquired shares were transferred to them by Trendy Plan Investments Limited) as reported hereunder. The remaining approximately 135 million shares have not yet been acquired as it is under the negotiation with the sellers. In this regards, Mr.Srettha Thavisin declined the news that he was in negotiation with UOB KAY HIAN PRIVATE LIMITED and CHASE NOMINEES LIMITED as appeared in the said newspaper.
