Enclosure (1) (Translation) Particulars of Objects (Amendment) of Sansiri Public Company Limited The objects of this Company consist of 60 items, as follows: (1) To buy, procure, obtain, lease, hired-purchase, own, occupy, develop, use and otherwise manage any property including fruits thereof. (2) To sell, transfer, mortgage, pledge, exchange, and otherwise dispose of property. (3) To be a broker, agent, commission agent for all types of transaction and business, e.g. all kind of real estate-related businesses which include buy, sell, lease, build, repair, as well as, request for credit line from financial institutions which will support the aforesaid businesses, except for insurance business, solicitation of membership for associations, and securities trading. (4) To borrow money, overdraw money from banks, juristic persons, or any other financial institutions, and to lend money or extend credit by any other means, with or without security, including to accept, issue, assign and endorse bills of exchange or any other negotiable instruments. (5) To establish branch offices or appoint agents within and outside the country. (6) To be a partner with limited liability of any partnership and to be a shareholder of any company. (7) To engage in the business of trading in rice, rice products, tapioca, tapioca products, maize, sesame, beans, peppers, jute, kapok, cotton, lac, castor beans, wood, rubber, vegetables, fruits, forest produces, herbs, animal skin, horns, living animal, meat, sugar, animal feeds, and all kinds of agricultural produces. (8) To engage in the business of trading in machinery, engines, tools, labour-saving devices, vehicles, electricity generators and electrical appliances, refrigerators, air-conditioners, fan, electric cookers, irons, water pumps, heaters, coolers, kitchenwares, hardwares, copperwares, brasswares, sanitarywares, household utencils, furniture, electrical accessories, pipe-water accessories, including parts and accessories thereof. (9) To engage in the business of trading in fresh foods, dry-foods, finished foods, canned foods, food seasoning, beverages, liquors, beer, cigarettes, and other consumer products. (10) To engage in the business of trading in fabric, thread, clothing, ready-made clothes, garments, ornaments, cosmetics, beautifying, appliances and equipment, and other consumer products. (11) To engage in the business of trading in drugs for curing and preventing diseases for men and animals, medical supplies, chemicals, medical and pharmaceutical tools, fertilizers, herbicides, all kinds of nutriments for plants and animals, scientific tools, instruments. (12) To engage in the business of trading in gold, copper alloy, silver, diamond, saffire, and other precious stones, including artificial materials thereof. (13) To engage in the business of trading in paper, stationery, text books, printing forms, books, studying accessories, calculating machines, printing machines, printing accessories, printed materials, newspapers, document-storing cabinets, and all kinds of office supplies. (14) To engage in the business of trading in construction materials, construction equipment and tools, all kinds of mechanical tools, paints, painting equipment, and all kinds of decorating materials for buildings. (15) To engage in the business of trading in plastics or any other similar materials, either in raw or finished nature. (16) To engage in the business of trading in raw rubber, rubber sheets, or other kinds of rubber produced or derived from any part of Para rubber plants, including synthetic rubber, artificial materials or goods thereof produced by scientific process. (17) To engage in the business of rice growing, gardening, farming, salt farming, forestry, rubber plantation, animal raising and livestock. (18) To engage in the business of rice mills, sawmills, factories and plants for wood planning and drying, automobile-body assembly, ceramic and porcelain manufacturing, pottery manufacturing, jute compressing, vegetable oil extracting, paper manufacturing, gunny bag manufacturing, textile, thread spinning, fabric dyeing and printing, tyre manufacturing and tyre-tread casting, ironworks, metal casting and lathing, corrugated iron manufacturing, finished food processing, liquor distilling, gas, cigarette producing, sugar mill, plastic utensil manufacturing, metal pressing and casting, door and window manufacturing, glass, beverages, rubber casting, automobile assembly. (19) To engage in the business of printing, book printing, book printing for sale, and newspapers publishing. (20) To engage in the business of ice producing plant. (21) To engage in the business of fishery, fish raft, fish jetty. (22) To engage in the business of rock exploding and milling. (23) To engage in the business of construction of buildings, commercial buildings, residential buildings, offices, roads, bridges, dams, tunnels, and all kinds of construction, including civil works. (24) To engage in the business of mining, smelting, separating, transforming, casting, dressing, exploring, analysing and testing, grinding and transporting ore. (25) To engage in the business of hotels, restaurants, bars, nightclubs, bowling alleys, massage parlours, cinemas and other entertainment establishments, resorts for recreation, sporting fields, swimming pools. (26) To engage in the business of cargo and passenger transport and transit facilities by air, on water and land, both domestic and international, including the services of cargo clearance at sea ports in accordance with customs procedures, and all kinds of freight forwarding services. (27) To engage in the business of tourism and other business in connection therewith. (28) To engage in the business of importing and exporting items of goods as stipulated herein. (29) To engage in the business of barbering, hairdressing, beauty salons, tailoring and laundry. (30) To render the services of photography, photographic film developing and printing, photograph enlarging, including photocopying. (31) To engage in the business of making and distributing motion pictures. (32) To engage in the business of petrol filling station and such services as car repairs, maintenances, inspections, car washing and greasing services, application of rust resisting agent for motor vehicles of all types including such other services as installation, inspection and fixing of all kind of safety devices. (33) To engage in the business of providing legal, accounting, engineering, architectural, and advertising services. (34) To engage in the business of providing guarantees of debts, liabilities and performance bonds to individuals, including personal guarantees to individuals who travel into or out of the Kingdom in compliance with the law of immigration, taxation, and others. (35) To engage in the business of providing consultancy and advisory services pertaining to administration, commerce, industry and also production, marketing and distribution. (36) To engage in the business of services of data collecting, collating, editing, publishing and publicising of statistics and information on agriculture, industry, commerce, finance, marketing, including analyses and evaluations of business enterprises. (37) To engage in the business of private hospitals, clinics, curing and caring patients and sick people, and provision of medical and health care teaching and training. (38) To engage in the business of executorship and trusteeship in fiduciary capacity, of the properties and interests of other individuals. (39) To engage in the business of tendering and bidding for the sales of goods and hire-of-works, in accordance with the objectives to individuals, corporate bodies, juristic persons, government authorities and organizations. (40) To engage in the business of selling, leasing, renting or hire-purchasing all kinds of immovable properties, including selling of lands on commercial basis, allocating of vacant lands and/or lands with all kinds of building structures, purchasing or procuring and holding ownership of lands and building structures or otherwise constructing thereon for selling, leasing, renting or hire-purchasing as condominiums, residences, commercial building, government building, industrial plants, as well as land development, construction , repair and renovation of any buildings as well as all kinds of immovable properties for selling, leasing, renting or hire-purchasing. (41) The Company is entitled to issue shares at a price higher than the registered par value. (42) To issue all kinds of securities which include preferred shares, debentures and also convertible debentures, bills, certificates representing the rights to purchase shares, certificates representing the rights to purchase debentures and/or other securities as specified by the law governing public limited companies or the law governing securities and exchange, and offer for sale to the shareholders, the public or any person. (43) The Company has an objective to offer shares for sale to the public. (44) To engage in the business of buying, selling, leasing and renting all kinds of movable properties in accordance with other objectives of the Company. (45) To engage in the business of services of design, installation, repairs, maintenance, inspections and fixing of all kinds of air-conditioning systems, computer systems. (46) To engage in the business of the services of interior decoration for residential, commercial and office buildings, which directly or indirectly support the real estate business of the Company. (47) To engage in the business of the services of architectural designs, engineering designs and interior designs, which directly or indirectly support the real estate business of the Company. (48) To engage in the business of providing any public services, and public utilities services within the building, condominium and subdividing of the land project, including providing any other basic services such as cleaning, laundry, food shop and restaurant, exercising room, car parking for instance that support the above business. (49) To engage in the business of providing management supervisions and maintenance services of public services and public utilities within and relating to the subdividing of the land project, building and condominium, as well as the common properties of the condominium, including other services relating thereof that support the above business. (50) To engage in the business of providing hi-speed Internet services within the building, condominium and subdividing of the land project. (51) To engage in the business of providing any service using the Internet as a media, e.g. network linking, sell and produce advertising using Internet as a media, act as agent in buying and selling goods and provide any service via Internet. (52) To engage in the business of selling and leasing computers, network equipments, and any other electronic equipments including parts thereof. (53) To engage in any telecommunication businesses, including providing Internet service, i.e. providing internet connection services for communication and common usage of information especially, sending and receiving electronic mail (e-mail), reading and posting in message board and applying Internet for the work, for example, access to other workstation which has link to the Internet system, file transfer from any computer on the Internet network, browse internet using various types of search engine application, providing that the direct contact with other network users must be made in text format and after obtaining permission from administrative official, state enterprises, other governmental agencies, or in accordance with the law governing the telecommunication business. (54) To engage in the business of advertising agency using various computer system media, including the Internet through dial-up or leased line connection and any other media, for example, magazine, newspaper, radio and television, as well as providing service of advertising design and production in all aforesaid medias, pubic relation service in business, for the educational purpose and for the purpose of public interest. (55) To engage in the business of providing design service for paper, printing form, envelope, brochure, including all types of printing. (56) To engage in the business of mass media, e.g. newspaper, radio, television including the production which relating to the aforesaid business. (57) To engage in the business of provide service of design and developing website. (58) To engage in the business of providing service of creating fair and activities to support sale, marketing and public relation for any persons, groups, entities, governmental official and governmental enterprises. (59) To engage in the business of providing translation service from one language to other language for all kind of documents. (60) To engage in the business of school, educational academy, sport field and sport center, providing training and educational course and seminar concerning sport (after obtaining permission from relating governmental official).
