Clarify-Acquisition of shares in Pacific Challenge Holding

No. Sor Sor / 1022 / 2006 30 June 2006 Re : To provide additional information regarding the report of the information concerning the acquisition of ordinary shares of Pacific Challenge Holding Co., Ltd. To : President The Stock Exchange of Thailand Reference : Information concerning the acquisition of ordinary shares of Pacific Challenge Holding Co., Ltd., dated 29 June 2006 As Sansiri Public Company Limited ("the Company") has reported the information regarding the acquisition of ordinary shares of Pacific Challenge Holding Co., Ltd., to the Stock Exchanges of Thailand as detailed in the reference. The Company would like to provide additional information with respect to the details of assets acquired as follows: Pacific Challenge Holding Limited (the "Entity") is the owner of the leasehold right of the 4 storey office building, with approximate area of 8,448 square meters, known as Pakdee Building, located at 2/2 Wireless Road, Lumpini, Pathumwan, Bangkok. The building is in a prime location, currently all the common area, and exterior have been already renovated. The Entity has started letting out the area since second half of 2005. The leasehold right has 7 year term left. The current occupancy rate is 60 percent. The criteria used for the appraisal of the assets, the Company uses income approach method for the valuation of leasehold right, which equals to 51 million baht, deducting by the current total liability in the amount of 42,962,778.14 baht, therefore the net asset value of the Entity is 8,037,221.86 baht. The Company acquires 85 percent of the Entity, which equals to 6,831,638.58 baht, comparing with the acquisition price of 2,125,000 baht, it will result that the acquisition value is 31.11 percent lower than net asset value of the acquired Entity.
