(Translation) Ref. SS./ 2372 / 2004 18 May 2004 Subject : Explanation the necessity of the delaying submission the 1st quarter financial statements To : President The Stock Exchange of Thailand As Sansiri Public Company Limited, a listed company, is required to submit the 1st quarter a reviewed financial statements and report of the Company ending 31 March 2004, to the SET, within 17 May 2004. The Company would like to explain the necessity of the delaying submission the said financial statements as follow. Due to the reason that the Company had changed the software which is used to operate all the accounting and finance systems of the Company since the beginning of the year 2004. After it was operated, it is appeared that the said software can not operate in its full capacity to support the actual operation of the accounting and finance systems of the Company and the adjustment are constantly made. As a result the Company had encountered serious problems and obstructions both from the existing problems occurred during the closing of financial statements for the year 2003 which still are in solving process, and the new unexpected problems which just occurred during the closing of the financial result of this quarter. Together with the fact that the Company has many projects, both existing and the newly developed ones during this year, it has caused a significant obstruction in preparation of the relevant information necessary for the Company's auditor to perform the auditing as expeditiously as it should be. For the above-mentioned reasons, the Company is unable to prepare the 1st quarter financial statements of the year 2004 within the prescribed time. In this regard, the Company would like to express that the Company does not intend to violate the rules in accordance with the regulation of the SET and it is expected that the Company will be able to submit the said reviewed financial statements and report to the SET within 21 May 2004.
