SS./ 2344 / 2004 14 May 2004 Subject : Submission of the Results of the offering of the Newly Issued Shares Reserved for Exercising Right of Warrants issued pursuant to the Plan to Privately Issue and Offer the Common Share- Purchase Warrants to the Directors and Employees # 2 of Sansiri Public Company Limited Report Form To : President The Stock Exchange of Thailand Reference : (1) Letter of the Company Ref : SS./ 0815 /1999, dated 28 October 1999 (Report the Results of the Warrants offering for the Lot 1) (2) Letter of the Company Ref : SS./ 0052 / 2001, dated 26 February 2001 (Report the Results of the Warrants offering for the Lot 2) (3) Letter of the Company Ref : SS./ 0142 / 2002, dated 28 March 2002 (Report the Results of the Warrants offering for the Lot 3) (4) Letter of the Company Ref : SS./ 0815 / 2003, dated 6 October 2003 (Report the Results of the Newly Issued Share Offering Reserved for Exercising Right of Warrants for the Exercising Period on 30 September 2003) (5) Letter of the Company Ref : SS./ 0089 / 2004, dated 11 February 2004 (The adjustment of the exercise price and exercise ratio of warrant issued under ESOP Plans) Enclosure : The Results of the Newly Issued Share Offering Reserved for Exercising Right of Warrants Report Form (Form 81-5 for the Exercising Period on 30 April 2004) As Sansiri Public Company Limited has reported the Results of the Warrants offering Report Form according to the Plan to Privately Issue and Offer the Common share-Purchase Warrants to the Directors and Employees # 2 ("the ESOP # 2 Plan"); and the Results of the Offering of the Newly Issued Shares Reserved for Exercising Right of Warrants (for the lastest Exercising Period on 30 September 2003); and subsequently the Company has informed the adjustment of the exercise price and exercise ratio of warrant issued under the said ESOP Plan to the SET, as per details in the Reference (1) to (5) respectively. The Company would like to inform that since the result of the said adjustment, therefore, the Company has to reserve shares for Exercising Right of Warrants which issued under the ESOP # 2 Plan, totaling 1,020,611 shares by divided into 3 lots, i.e.; (a) Lot 1, in the number of 511,961 shares (b) Lot 2, in the number of 432,868 shares (c) Lot 3, in the number of 75,782 shares At present, the Company had already issued and offered the Newly Issued Share which reserved for Exercising Right of Warrants in accordance with the said Plan, in the additional number of 20,000 shares since 30 April 2004, therefore the Company would like to report the results of the said issuance and offering as described in report form enclosed. However, total balance of shares reserved for the exercising right of warrant (after the exercising right on 30 April 2004) are 1,000,611 shares by divided into 3 lots, i.e.; (a) Lot 1, in the number of 511,961 shares (b) Lot 2, in the number of 412,868 shares (c) Lot 3, in the number of 75,782 shares Please be informed accordingly.
