No. SS/0934/1998 Registration No. Bor.Mor.Jor. 589 July 30 , 1998 Director and Manager of The Stock Exchange of Thailand Re : Report the Results of utilizing proceeds of Sansiri Public Company Limited According to the Sansiri Public Company Limiteds Ordinary Shareholder Meeting#3/1998 held on April 30,1998 has passed the resolutions to increased its registered capital from Baht 645,500,000.- (Six Hundred Forty Five Million and Five Hundred Thousand Baht Only) to Baht 945,500,000.-(Nine Hundred Forty Five Million and Five Hundred Thousand Baht Only) by issuing 30,000,000 common shares (Thirty Million common shares), at par value of each Baht 10.- (Ten Baht) , totalling Baht 300,000,000.- (Three Hundred Million Baht Only) in order to offer its new shares wholely or in many parts to the 17 institutional investors as specified in the SEC Announcement No. Kor.Jor.13/1996 governing the submission of the Application to disclose information for the offer for sale of securities and its exception dated September 12 , 1996 by the price , terms , subscription and payment date would be determined by the Board later. In the first time , the Company has made the share offering for the amount of 2,928,045 shares (Two Million Nine Hundred Twenty Eight Thousand and Forty Five shares) to Siam Commercial Bank Public Company Limited , one of the 17 institutional investors as specified in the SEC Announcement , at the price of Baht 10.- (Ten Baht) per share , totalling Baht 29,280,450.- (Twenty Nine Million Two Hundred Eighty Thousand and Four Hundred Fifty Baht Only). The share subscription and payment period of the said offer commenced from June 8, 1998 to June 12, 1998. The second share offering , the Company was made for the amount of 400,000 shares (Four Hundred Thousand shares) to Interlife John Hancock Assurance Public Company Limited , one of the 17 institutional investors as specified in the SEC Announcement , at the price of Baht 10.- (Ten Baht) per share , totalling Baht 4,000,000.- (Four Million Baht Only). The share subscription and payment period of the said offering commenced from July 6, 1998 to July 10, 1998. ....../ The Company -2- The utilization of the proceeds as of July 30, 1998 were as follow: amount of amount of utilizing remainder the objectives proceeds as of and plans for July 30 , 1998 utilizing proceeds 1. to repay the outstanding debt and owed to Siam Commercial Bank Public Company Limited 29,280,450.- 29,280,450.- - (to decrease the outstanding debt and interest of loan of the project) 2. to repay the outstanding debt and owed to Interlife John Hancock Assurance Public Company Limited 4,000,000.- 4,000,000.- - (to decrease the outstanding debt and interest of loan of the project) Thus , the plans for utilizing proceeds will be according to the objective which the Company had announced to the Stock Exchange of Thailand and to the shareholders as specified in the capital increased report.
