Ref. SS/0800/1998 June 9,1998 Director and Manager of The Stock Exchange of Thailand Re: Report the Resolutions of the Board of Directors Meeting. The Sansiri Public Company board of directors meeting (# 4/1998) held on June 8,1998, has passed the following resolutions: 1. THAT the Company will restructure and settle its loan granted by Siam Commercial Bank Public Company Limited (SCB) in the amount of Baht 225,990,000.- which , as collateral of this loan, the Company has mortgaged the land title deed 3197 and 4270 Tombol Sathorn, Amphur Sathorn (Bangrak), Bangrak, Bangkok located at Soi Saladaeng , Silom Road, Bangkok with SCB as per the agreement dated April 18,1996 and memorandum to increase the mortgaged amount (# 1) dated December 29, 1997 by giving SCB the consent to assign the partial priciple amount of this loan in the amount of Baht 187,000,000.- including the said collateral to Saim Commercial Property Development Co.,Ltd. 2. THAT in order to settle the mortgage debt with Saim Commercial Property Development Co.,Ltd. the Company will transfer the land title deed 3197 and 4270 Tambol Sathorn, Amphur Sathorn (Bangrak), Bangrak , Bangkok in the agreed value of Baht 187,000,000.- to it as a set-off. 3. THAT the Company will offer its new issue shares in the amount of 2,928,045 shares with the par value of Baht 10.- each to Siam Commercial Bank Public Company Limited, one of the 17 institution investors as specified in the SEC Annoucement, at the price of Baht 10.- per share. The share subscription period of the said offer will commence from June 8,1998 to June 12,1998 during 8.00 - 17.00 hour each day, provided that if the total amount of the offering shares are subscribed on any day earlier than the last day of the said subscription period , such day will deemed to be the closing date of the supscription period.
