(English Translation) 2 February 2012 Subject : Report on the results of the exercise of the Warrants under ESOP # 6 Plan for the period of Jan 2012 (9th exercising right) To : President The Stock Exchange of Thailand As Sansiri Public Company Limited ("the Company") had issued and offered the Ordinary Share-Purchase Warrant of the Company ("Warrants") under ESOP # 6 Plan which allotted to the Directors and Employees of the Company and its Subsidiaries. The detail of which are as follows: Name ESOP # 6 Number of Warrants which were already been allotted and subscribed The Company had split the warrants from 1 existing unit to 4 newly units in order to be in accordance with the change of par value of the Company share pursuant to the resolution of the Extraordinary Meeting of Shareholder No. 1/2011 held on 27 September 2011 as follows: - splitting of warrant from 63,173,735 units to 252,694,940 units Total number of shares being reserved for exercising right (after the change of par value of the Company share) splitting 1 existing share being reserved for the exercising right of the warrant to 4 newly shares as follows: - from 73,723,754 shares to 294,895,016 shares Maturity 5 years from the issuance of warrant (6 August 2010) Exercise Ratio 1 unit of warrant are entitled to purchase 1.167 ordinary shares Exercising Price 1.114 baht per unit Exercise Period The warrant holder are entitled to exercise the warrant once every calendar month on the last working day until the maturity period of the warrant In this regard, the Company would like to report the results of the exercise of the Warrants to purchase the Company's ordinary shares under ESOP # 6 Plan for the period of January 2012 (9th exercising right) as follows: 1. Results of the exercise Number of Exercisable Warrants for this time (after splitting the warrants from 1 existing unit to 4 newly units) 252,694,940 units Less : Number of Exercised Warrants for this time (24,521,040) units Total balance of Warrants being unexercised 228,173,900 units 2.
