(English Translation) 5 October 2011 Subject : Notification of the registration of the change of par value of the ordinary shares of the Company and the adjustment of rights of the warrants issued under the SIRI-W1, ESOP # 5 and ESOP # 6 scheme To : President The Stock Exchange of Thailand Sansiri Public Company Limited ("the Company") would like to inform that the Company has completed the registration of the change of par value of the ordinary shares of the Company from 4.28 baht per share to 1.07 baht per share (splitting 1 existing share with par value of 4.28 baht per share to 4 newly shares with par value of 1.07 baht) which the amount of the Company's registered capital remains unchanged, i.e. 11,641,589,650.96 baht, as well as the amendment of Clause 4 of the Memorandum of Association of the Company, under the resolution of the Extraordinary Meeting of Shareholder No. 1/2011, as submitted to the Department of Business Development, Ministry of Commerce on 5 October 2011. Therefore, the details regarding the capital of the Company are as follows: 1. Registered capital being 11,641,589,650.96 baht divided into 10,879,990,328 ordinary shares with a par value of 1.07 baht per share. 2. Paid-up capital being 7,546,954,443.64 baht, having the total shares sold of 7,053,228,452 shares with a par value of 1.07 baht per share. Additionally, the Company will adjust the rights of the warrants issued under the SIRI-W1, ESOP # 5 and ESOP # 6 scheme as approved by the Extraordinary Meeting of Shareholder No. 1/2011 in order to preserve the interest of the warrant holders in accordance with the terms and conditions of the respective warrant scheme. The adjustment of the rights of the warrants shall be effective immediately once the change of par value of the ordinary shares of the Company occurs, the details of which are as follows: The Company will split the said warrants from 1 existing unit to 4 newly units in order to be in accordance with the change of par value of the Company share. In this regard, the exercise ratio would remain unchanged resulting, i.e. 1 unit of warrant is entitled to purchase 1.167 ordinary shares, but the exercise price per one ordinary share is changed to as follows: - the exercise price of SIRI-W1 is changed from the existing 4.457 baht per share to 1.114 baht per share. - the exercise price of ESOP # 5 is changed from the existing 4.286 baht per share to 1.072 baht per share. - the exercise price of ESOP # 6 is changed from the existing 4.457 baht per share to 1.114 baht per share.
