(English Translation) 5 August 2010 Subject : Report on the results of the exercise of ESOP # 5 Plan for the period of 30 July 2010 To : President The Stock Exchange of Thailand As Sansiri Public Company Limited ("the Company") had issued and offered the Ordinary Share-Purchase Warrant of the Company ("Warrants") under ESOP # 5 Plan in the number of 52,820,000 units which allotted to the Directors and Employees of the Company and its Subsidiaries with free of charge since 30 June 2009. It was appeared that some directors and employees had resigned from the Company before this allotment, so they did not receive such allocation of Warrants, resulting the Warrants being unsubscribed of 7,050,000 units. The Board of Directors will further propose the shareholder's meeting for approving the decrease of the registered capital of the Company by canceling the remaining Warrants unsubscribed and the shares reserved for the exercising right of such Warrants. At present, therefore, the Company has the Warrants which were already been allotted and subscribed totaling 45,770,000 units. The Company would like to report the results of the exercise of the Warrants to purchase the Company's ordinary shares under ESOP # 5 Plan for the period of 30 July 2010 as follows: 1. Results of the exercise - Number of Exercisable Warrants for this time : 45,770,000 units - Number of Exercised Warrants for this time : 8,460,000 units - Total balance of Warrants being unexercised : 37,310,000 units - Exercise Ratio : 1 unit of Warrant will be entitled to purchase 1 ordinary share. - Exercise Price : 5 Baht per unit 2. Details of the share sale - Number of Warrant holders' application for this time : 17 persons - Number of shares reserved for the current exercise : 8,460,000 shares - Total balance of shares reserved for the exercising right of warrants : 37,310,000 shares 3.
