Payment date : 10 July 2007 2. The registration date of paid-up capital : 11 July 2007 3. The company name : Rojnaruemit Limited 4. The existing capital -Registered capital : 30 million baht by divided into 300,000 shares at the par value of 100 baht -Paid up capital : 30 million baht by divided into 300,000 shares at the par value of 100 baht After capital increase -Registered capital : 78 million baht by divided into 780,000 shares at the par value of 100 Baht -Paid up capital : 78 million baht by divided into 780,000 shares at the par value of 100 baht 5. The general characteristics : The entry into the transaction by the Company and the size of the transaction are not fell within any jurisdiction of the notification of the SET Re: Rule, Procedures and Disclosure of Connected Transaction of Listed Companies and Re: Rule, Procedures and Disclosure of Information Concerning the Acquisition and Disposition of Asset of Listed Companies. 6. The reason for the increasing of capital : Due to the fact that, at present, Rojnaruemit Limited does not do any business and suffers the accumulated losses, therefore, the Company deems that the capital structure of Rojnaruemit Limited should be restructured so that it will be suitable to be used as a platform for any future investment and joint venture. Whereas after the completion of the capital increase, the Company plans to reduce the amount of registered capital of Rojnaruemit Limited in order to use the amount being reduced to compensate with the remaining retained losses.
