(Translation) Ref. SS./ 1410 / 2007 14 May 2007 Subject : Clarification on dividend payment policy. To : President The Stock Exchange of Thailand Due to the fact that the Federation of Accounting Professions (FAP) has issued the notification no. 26/2006 regarding the Accounting Standard no. 44, Consolidated Financial Statements and Accounting for Investments in subsidiaries (Amendment no. 1), under which the investments in subsidiaries, jointly controlled entities and associates are to be presented in the separate financial statements under the cost method rather than the equity method. In this regard, Sansiri Public Company Limited ("the Company") has elected to adopt the change in 2007 which resulted that the performance in the Company's consolidated financial statements is not equivalent to the Company's Separate Financial Statements. In order to clarify the understanding between the Company and its shareholders and investors, the Board of Directors of the Company in its meeting no. 3/2007 held on 11 May 2007 has approved for being clear of changing on dividend payment policy and are as follows: "The Company's dividend policy is to pay dividend at the rate of approximately 50 percent of its consolidated net income after deduction of all reserves as required by laws and the Company. However, such dividend payment shall be conformed to the law and the Articles of Association of the Company as well as subject to the Company and its affiliates'cash flow and investment plans, including justifications and other future considerations as deem appropriate.
