No. SS./ 0213 / 2006 24 February 2006 Subject : To Inform the Expiration of the Exercise Period of warrants issued and offered under the ESOP # 3 of Sansiri Public Company Limited To : The President The Stock Exchange of Thailand As Sansiri Public Company Limited ("the Company") has issued and allotted the Common Share-Purchase Warrants pursuant to the Plan to Privately Issue and Offer the Common Share-Purchase Warrants to the Directors and Employees # 3 ("the ESOP # 3 Plan"), totaling 641,000 units, which stipulated the exercising period on the end working day of every month between 9.00 a.m. to 4.00 p.m. at the exercise ratio (after adjustment of the warrant) of 1 unit per 1.30901 shares at the exercising price of 5 baht per share. Furthermore, after the latest exercising date on 31 January 2006 up until 20 February 2006 there are total balance of warrants issued and allotted under the ESOP # 3 Plan in aggregate of all allotments which remaining unexercised in the number of 234,317 units and total balance of shares reserved for the exercising right of the said warrants in the number of 306,723 shares. In this regard, the Company would like to inform that now, the exercising period of warrants issued and offered under the ESOP # 3 Plan is expired since 20 February 2006, but there were no warrant holders exercised at this last exercising period. Therefore, the warrants being unexercised under the ESOP # 3 Plan, totaling 234,317 units and the shares reserved for the exercising right of warrant, totaling 306,723 shares would be canceled on the said expiration date. The Board of Directors will propose to decrease of the registered capital of the Company by canceling the said shares for the shareholder's approval in the Annual General Shareholders' Meeting for the year 2006 of the Company.
