The disclosure of Information concerning a connected transaction between Sansiri Public Company Limited and Siri Phuket Limited, concerning the providing of the financial assistance to, Siri Phuket Limited, a subsidiary of the Company A board of directors meeting of Sansiri Public Company Limited ("the Company") #3/2003 held on 25 March 2003, passed resolutions to provide the financial assistance to Siri Phuket Limited, a company the shares of which are held by the Company and Natural Park Public Company Limited, who is a connected person of the Company. It is a transaction in the case of the granting of financial assistance in proportion to the interest which the Company has in that company, under normal or better commercial terms. The details are as follows: 1. The date on which the transaction occurred : 28 March 2003 2. The parties involved : - Borrower : Siri Phuket Limited - Lender : Sansiri Public Company Limited 3. Loan Amount : 51% of the totaling Shareholders Subordinated Loan of not exceed 500 million baht, or equivalent to 255 million baht 4. Interes Rate : The interest rate will be fixed on the date of each drawdown, based on the cost of fund of the Company as at the date of such drawdown. As at the transaction date, the interest rate is 6% per annum. 5. Loan Period : around 24 months, to be drawdown in the installment as needed by Siri Phuket Limited 6. Loan Payment : Installation payment from the operation cash flow 7. Loan Objective : For working capital 8. Source of Funds : Working capital and increased registered capital 9. Expected Return : Interest income 10.The general characteristics of the transaction : The transaction in which the Company provides financial assistance in proportion to the interest which the Company has in it. The Company holding shares 51% in Siri Phuket Limited and Natural Park Public Company Limited, who is a connected person of the Company, holding shares 49% in Siri Phuket Limited. It is a connected transaction prescribed under Clause 9 (2) (b) of the Notification of the Stock Exchange of Thailand, Re : Rules and Procedures and Disclosure of Connected Transactions of Listed Companies. It is a transaction in which a Listed Company has an objective of, or which will result in, providing financial assistance to a company in which the Listed Company and a connected person are shareholders, and the financial assistance is provided in proportion to their respective interest in the company under normal or better commercial terms. 11.The details of connected persons and of related persons : - Connected persons : Natural Park Public Company Limited - Related persons : - none - 12.The nature and extent of the interest of the connected persons in the transaction : Natural Park Public Company Limited holding shares in the number of 120 million shares, or equivalent to 13.84% of the totally issued and sold shares of the Company which means the "major shareholder" pursuant to the Notification of the Stock Exchange of Thailand, Re : Rules and Procedures and Disclosure of Connected Transactions of Listed Companies.
