(Translation) Ref. SS. / 0718 /2002 18 December 2002 Subject : Clarification of the reduction of investment proportion in a Subsidiary. To : President The Stock Exchange of Thailand Reference : The Company's letter, SS. / 0709 /2002 dated 17 December 2002. As Sansiri Public Company Limited ("Company") has reported the information concerning the changing in the shareholding structure by reduce the proportion of shareholding in Plus Property Partners Co., Ltd., a subsidiary as per details in Reference. The Company would like to give additional report on the above issue that the 6 shareholders i.e. (1) Univentures Asset Management Co., Ltd. (2) Shining Route (Thailand) Limited (3) Mr. Surahan Wongwasin (4) Mr. Chana Asdathorn (5) Ms. Anuradee Jaroensook (6) Mr. Suraphan Phatanapitoon who subscribed the newly issued shares did not have any relationship with the Company and also are not the persons having power or influence in the management in the Company. In this case, only Univentures Asset Management Co., Ltd., a subsidiary of Univentures Public Company Limited has held shares 4.05% in the Company. The directors between Univentures Public Company Limited and the Company are Mr. Apichart Chutrakul, Mr. Srettha Thavisin and Mr. Wanchak Buranasiri but these directors are not the persons having power or influence in the management of the Univentures Public Company Limited. Furthermore, the entry into this transaction and the size of the transaction are not fell within any jurisdiction of the notification of the SET Re: Rule, Procedures and Disclosure of Connected Transaction of Listed Companies and Re: Rule, Procedures and Disclosure of Information Concerning the Acquisition and Disposition of Asset of Listed Companies.
