REDUCE THE PROPORTION OF SHAREHOLDING IN A SUBSIDIARY

Sansiri Public Company Limited would like to report the information concerning the changing in the shareholding structure by reduce the proportion of shareholding in Plus Property Partners Co., Ltd., a subsidiary as follows: 1. Transaction Date : 16 December 2002 2. Type of Transaction : The Company, the existing shareholder of Plus Property Partners Co., Ltd. agreed to waive the right to subscribe the whole 6,664,000 newly issued shares at the price of 10 Baht, totaling 66,640,000 Baht, which results in changes in the shareholding structure of its subsidiary. 3. The existing capital -Registered capital : 102,000,000 Baht by divided into 10,200,000 shares at the par value of 10 Baht -Paid up capital : 102,000,000 Baht by divided into 10,200,000 shares at the par value of 10 Baht After capital increase -Registered capital : 168,640,000 Baht by divided into 16,864,000 shares at the par value of 10 Baht -Paid up capital : 168,640,000 Baht by divided into 16,864,000 shares at the par value of 10 Baht 4. The shareholding structure - Proportion of shareholding before capital increase : Sansiri Public Company Limited 99.99 % - Proportion of shareholding after capital increase : (1) Sansiri Public Company Limited 60.48 % (2) Univentures Asset Management Co.,Ltd.11.86 % (3) Shining Route (Thailand) Limited 2.97 % (4) Mr. Surahan Wongwasin 5.93 % (5) Mr. Chana Asdathorn 15.12 % (6) Ms. Anuradee Jaroensook 1.86 % (7) Mr. Suraphan Phatanapitoon 1.78 % Total 100.00 % 5. The reason to waive the right to subscribe the whole newly issued shares in this time : The Company has a policy to reduce the proportion of investment in Plus Property Partners Co., Ltd., in order to create the independency in term of Plus Property Partners Co., Ltd. management as well as the investment expansion policy into other business line by way of giving the opportunity to the alliances to subscribe the newly issued shares, the details of which are appeared in the shareholding structure after capital increase as described in 4. 7. The affects to the Company by reduce the proportion of investment : There will be an affect to profit sharing or the voting right of the Company in Plus Property Partners Co., Ltd. which would be reduced by 39.52% of the previous profit sharing or the voting right. However, prior to the reduction of investment proportion, Plus Property Partners Co., Ltd. had already paid the dividends from all the retained earning and net profit accrued this year until the 3rd quarter to the existing shareholders.
