SS./ 0473 / 2002 29 August 2002 Subject : Termination of the Subscription Agreement and the Management and Promote Agreement between Sansiri Public Company Limited and Starwood Thailand Corporation To : The President The Stock Exchange of Thailand Sansiri Public Company Limited would like to inform the Stock Exchange of Thailand that today it had been notified by Breath Life Company Limited (the "Investor") that the Investor has fulfilled the condition in the Agreement to Terminate Subscription Agreement and Management and Promote Agreement dated June 24, 2002 since August 28, 2002. As the result, the Subscription Agreement dated March 3, 1999 and the Management and Promote Agreement dated May 31, 2000 is terminated on the date such condition was fulfilled. Moreover, the Company would like to inform that the 1,082,876,432 newly issued shares at Baht 5.-per share, reserved for the exercising right of Starwood under the Subscription Agreement will not be allotted. The Board of Directors will propose to cancel or re-allot said shares for the shareholders' approval in next shareholders' meeting of the Company, Please be informed accordingly.
