Transaction Date : 28 November 2001 2. The parties involved : Grand Unity Development Company Limited 3. Investment Amount : 1,562,500 baht 4. The details of assets acquired: The Company agrees to invest in the Grand Unity Company Limited by acquiring 3.125% of its registered capital of 50 million baht by divided into 5 million ordinary shares at the par value of 10 baht per share 5. Type of business : Property sales and development of 4 condominium buildings, totaling 588 units in Lumpini Place Water Cliff Project, located at Chalerm Mahanakorn Express Way Road, Chongnonsi, Yannawa, Bangkok 6. Shareholders' Structure : 1. Univentures Public Company Limited 37.50 % 2. Yowwawong Company Limited 31.25 % 3. L.P.N. Development Public Company Limited 25.00 % 4. Sansiri Public Company Limited 3.125% 5. Univentures Asset Management Company Limited 3.125% 7. The total value of the consideration : Investment at par value of the new company, which is the fair and reasonable price 8. The sources of funds : Working Capital 9. The return on investment: Dividend 10. Investment Period : 36 months 11. Other : At the same time, the Company agrees to give a long term loan in the amount of 8,437,500 baht, which equal to 3.125% of the the totaling loan of 270 million baht, with an interest rate at 15% per annum which will be due for repayment within 36 months. The repayment schedule will be in accordance with the cashflow surplus from the operation 12.
