Ref. SS./ 0296 /2000 July 13, 2000 Subject : Investment by setting up Sansiri Home Network Co.,Ltd. To : Director and Manager of the Stock Exchange of Thailand By virtue of the resolutions of the board of directors' meeting # 2/1994 held on November 4, 1994 which amended by the resolutions of the board of directors' meeting # 3/1996 held on June 28, 1996, Mr. Apichart Chutrakul, the Chief Executive Officer and Mr. Srettha Thavisin, the President were appointed by the board of directors to have the authorize to approve the investment for the amount not more than 3 Million Baht. Therefore, they jointly consider and approve the Company to invest by setting up the new Company by way of holding shares equal to 100%, the summary of which are as follows: 1. Name of the Company : Sansiri Home Network Co.,Ltd. 2. Type of Business : E-business 3. Objective of the Investment : To develop portal website focused on real estate business and living as well as to expand the business of the Company in the area of e-business which are related to real estate business 4. Registered Capital : 1 Million Baht Paid-up Capital : 1 Million Baht (100,000 ordinary shares with the par value of 10 Baht each) 5. The number of shares to be invested : 100,000 ordinary shares (equals to 100% of the amount by the Company and the proportion of registered capital of the Company) 6. Criteria in calculating the amount : Par value of compensation 7. The general characteristic : The entry into the transaction by the Company and its of the transaction size are not fell within any jurisdiction of the notification of the SET Re: Rule, Procedures and Disclosure of Connected Transaction of Listed Companies and Re: Rule, Procedures and Disclosure of Information Concerning the Acquisition and Disposition of Asset of Listed Companies. 8.
