SS/ 0916 /1999 24 December 1999 Subject : Alloted the newly issued shares of Sansiri Public Company Limited as a Private Placement To : Director and Manager of The Stock Exchange of Thailand The Sansiri Public Company Limited's board of directors meeting No. 12/1999 held on 24 December 1999 during 2.00 pm. to 3.00 pm., has passed the resolutions with respect to the issuance and allotment of the newly issued shares of the Company as follows: (1) The Company will offer its newly issued shares in the number of 4,000,000 (Four Million) shares with the par value at Baht 10 (Ten) each to Starwood Thailand Country Fund 1, one of the 17 institutional investors as specified in the SEC Announcement, at the price of Baht 5 (Five). The share subscription period of the said offer will be from 27 December 1999 to 10 January 2000. The objective of this share offering was to raise money to finance the operation of the existing business of the Company. Prior to this offering, Starwood Thailand Country Fund 1 held 5,000,000 (Five Million) shares in the Company so that after the subscription of the said offering shares, Starwood Thailand Country Fund 1 will hold 9,000,000 (Nine Million) shares in the Company which equal to 3.42% of the Company's paid up capital. (2) The Company will offer its newly issued shares in the number of 4,000,000 (Four Million) shares with the par value at Baht 10 (Ten) each to Asia Country Fund, one of the 17 institutional investors as specified in the SEC Announcement, at the price of Baht 5 (Five). The share subscription period of the said offer will be from 27 December 1999 to 10 January 2000. The objective of this shares offering was to raise money to to finance the operation of the existing business of the Company. Prior to this offering, Asia Country Fund held 5,000,000 (Five Million) shares in the Company so that after the subscription of the said offering shares, Asia Country Fund will hold 9,000,000 (Nine Million) shares in the Company which equal to 3.42% of the Company's paid up capital.
