the application of permission to Issue Warrants and Shares
Reserved for Exercising Right of Warrants under this plan
to SEC, the number of the existing paid-up shares capital
of the Company are 69,987,506 shares)
Exercising Price : Baht 5.-
Exercising Period : On the end of working day of every month between 9.00 AM
to 4.00 PM until the maturity date, the holder can ask the Company
for exercising , starting April 1999 until the last exercising on
March 2004

(2) In the Extraordinary shareholders Meeting # 1/1998 held on 17 December 1998,
Mr.Thanapol Sirithanachai was only the employee of Company, he subsequently also
be appointed as the director of the Company by the Shareholders' resolution in the
Annual General Meeting of Shareholders of the Company # 4/1999 held on 9 April
