Ref. SS/0306/1999 14 June 1999 Subject : Alloted the new issue shares of Sansiri Public Company Limited as a Private Placement. To : Director and Manager of The Stock Exchange of Thailand Enclosure : Name of subscribers and number of shares subscribed. The Sansiri Public Company Limited's board of directors meeting (# 7/1999) held on 14 June 1999 during 2.00 p.m. to 3.30 p.m., has passed the resolutions with respect to the issuance and allotment of the newly issued shares of the Company the details of which were as follows: It was unanimously resolved to approve the issuance and allotment of 16,960,000 newly issued share at Baht 5.- and 4,240,000 newly issued shares at Baht 10.- as a private placement offering to the 22 investors who qualified as the 17 institutional investors as specified in SEC Announcement (whose names and the number of shares subscribed appeared in the Enclosure), totalling 21,200,000 shares. The settlement date is on 15 June 1999. The objective of this shares offering was to raise money to (i) invest in Starwood Thailand Property Fund 1 who has acquired Core Assets (Business Loans) from Financial Sector Restructuring Authority (FRA) (ii) invest in future project and (iii) invest for the upgrading of information technology system of the Company. Therefore, after the Company had made this share offering , leaving the number of shares to be further offered in the amount of 1,098,600,154 shares. Please be informed accordingly.
