Ref. SS/0275/1999 8 June 1999 Subject : Alloted the new issue shares of Sansiri Public Company Limited as a Private Placement. To : Director and Manager of The Stock Exchange of Thailand Enclosure : Capital Increase Report Form The Sansiri Public Company Limited's board of directors meeting (# 6/1999) held on 7 June 1999 during 2.00 p.m. to 3.30 p.m., has passed the resolutions with respect to the issuance and allotment of the newly issued shares of the Company the details of which were as follows: 1. It was unanimously resolved to approve the issuance and allotment of 72,388,800 newly issued share at Baht 5.- and 18,097,200 newly issued shares at Baht 10.- as a private placement offering to the 17 institutional investors as specified in SEC Announcement. As the Condition to this offering , the qualified subscribers must subscribe for 2 shares issued at Baht 10.- to be entitled to subscribe for 8 shares issued at Baht 5.- The total offering shares will be divided to (i) 38,236,000 shares (comprising of 30,588,800 shares to be issued at Baht 5.- and 7,647,200 shares to be issued at Baht 10.-) which will be offer and sold in Thailand. (ii) 52,250,000 shares (comprising of 41,800,000 shares to be issued at Baht 5.- and 10,450,000 shares to be issued at Baht 10) which will be offer and sold outside Thailand. The share subscription period of the said offer will be from 8 June 1999 to 10 June 1999 between 8.00 - 17.00 hour each day, provided that if the total amount of the offering shares are subscribed on any day earlier than the last day of the said subscription period, such day will deemed to be the closing date of the subscription period. 2. It was unanimously resolved to approve the issuance and allotment of 3,320,000 newly issued share at Baht 5.- and 4,980,000 newly issued shares at Baht 10.- to the non-Thai resident investors who qualified as one of the 17 institutional investors as specified in SEC Announcement. The objective of this shares offering was to raise money to (i) invest in Starwood Thailand Property Fund 1 who has acquired Core Assets (Business Loans) from Financial Sector Restructuring Authority (FRA) (ii) invest in future project and (iii) invest for the upgrading of information technology system of the Company. Therefore, after the Company had made this share offering , leaving the number of shares to be further offered in the amount of 1,119,800,154 shares. Please be informed accordingly.
